Terms of Service

§ 1. GENERAL

  1. The Administrator of the Store and the Portal is Transparent World spółka z ograniczoną odpowiedzialnością with its registered office in Suwałki (16-400) at ul. Innowacyjna 1, entered into the register of entrepreneurs of the National Court Register kept by the District Court for Białystok, XIIth Commercial Division of the National Court Register under KRS number: 0000729089, NIP: 9512460962, REGON: 380052092, with a share capital of PLN 10,000, contact e-mail:  [email protected] 
  2. The Terms and Conditions define the terms of use of Store and Portal as well as the terms of membership in the eduworlds community, in particular Mint of eduworlds Tokens, rights related to their possession, conditions for trading eduworlds Tokens, terms of gamification with their use, the scope of services provided by the Administrator and the scope of his responsibility.
  3. The content of the Terms and Conditions is published at: https://eduworlds.com/terms-of-service-eng.  At the request of the interested person, the content of the Terms and Conditions will be made available to him to the e-mail address indicated by him, in a way that allows obtaining, reproducing and recording the content hereof.
  4. The use of additional benefits by members of the eduworlds community  may be regulated by separate terms, about which the Administrator will inform Users via Discord server of the eduworlds community  and generally on the Portal.

§ 2. DEFINITIONS

  1. Blockchain – an open and decentralized database enabling the launch of Smart Contracts, in which records are created using cryptography and arranged in the blockchain in such a way that every record made in this database is fixed in an irreversible and immutable way.
  2. ETH (short for Ether) – the native virtual currency of the Ethereum network.
  3. Customer – a natural person, a legal person, legal entity without legal personality, which places an Order for the eduworlds Token  and concludes a Sales Agreement in accordance with present Terms and Conditions and the provisions of law.
  4. Collection – a limited number of Digital Files created by the Administrator intended for Mint of eduworlds Tokens. 
  5. Consumer – an adult natural person with full legal capacity, using the services defined in the Terms and Conditions in scope not directly related to his or her business or professional activity or an adult natural person with full legal capacity, using  the services defined in the Terms and Conditions in the scope directly related to his or her business activity, when the content of the agreement indicates that it does not have a professional character for that person, basing in particular upon the subject of his business activity, made available in accordance with the provisions on the Central Register and Information on Economic Activity.
  6. Courses – educational content made available to members of eduworlds community at the Portal, upon the terms set out herein.
  7. Mint – an activity consisting in generating and saving in Blockchain a unique code (token ID) connected to an individually marked digital file, which is equivalent to creating a Token.
  8. Token – a unique, digital, cryptographically stored in Blockchain certificate of right to dispose, on an exclusive basis, of ownership of a Digital File associated with the Token.
  9. Eduworlds Token  – a limited number of Tokens available for purchase in the Store or created as a result of Mint out of the Digital File Collection made available by the Administrator which constitutes a condition for eduworlds community membership. Eduworlds tokens were created in the ERC721 standard and can be traded using a Smart Contract in the Ethereum network in exchange for the ETH cryptocurrency. Possession of the eduworlds Token is associated with the rights specified in the Terms and Conditions.
  10. Digital File – each graphic included in the Collection saved in PNG format, which as a result of Mint is associated with the eduworlds Token by appropriate record in metadata.
  11. Paid Product – a course provided at portal.akademia.pl website purchased for a fee in an lifetime access form. Following products do not constitute a Paid Product: courses received in exchange for Transparent Powers Tokens and free materials (including Akademia Fundamenty, Mafia, klub 10k, Akademia Nauka Live, Black Friday Bonus, Odwróć Grę, Zrozum NFT, Twórcy Dzieciom, Konferencja – Materiały).
  12. Portal – website at: https://portal.eduworlds.com.
  13. Wallet – cryptographic hardware or software that interacts with Blockchain, which allows its holder to store Tokens and participate in Transactions. 
  14. Related Platforms – sales platforms enabling Token Transactions https://opensea.io/ and https://looksrare.org/ with which the Administrator has concluded an appropriate agreement. 
  15. Terms and Conditons – present Terms and Conditions.
  16. Store – an online service available at: https://eduworlds.com through which the Customer can purchase eduworlds Tokens.
  17. Smart Contract – a computer software created in the Solidity programming language and stored in Blockchain, enabling Mint and Token trading, including making Transactions.
  18. Seller – Transparent World sp. z o.o., ul. Innowacyjna 1, 16-400 Suwałki, KRS: 0000729089, NIP: 9512460962, REGON: 380052092, e-mail: [email protected], making sales through the Store.
  19. Transaction – each legal act made in the Ethereum network and saved in Blockchain, based on a Smart Contract, resulting in the transfer of the eduworlds Token to the buyer in exchange for ETH.
  20. Sales Agreement – an agreement for sale of a certain number of eduworlds Tokens, concluded between the Seller and the Customer using the Store.
  21. Entitled Person – a person referred to in § 7 Clause 1 hereof. 
  22. User – each holder of at least one eduworlds Token who has accepted Terms and Conditions. Meeting the requirements set out in the preceding sentence is equivalent to becoming a member of the eduworlds community.
  23. Order – the Customer’s declaration of intent aimed at conclusion of a Sales Agreement, constituting an offer to conclude a Sales Agreement, specifying in particular number of eduworlds Tokens.

§ 3. PROVISION OF SERVICES BY ELECTRONIC MEANS 

  1. The Administrator is also a service provider of services provided electronically within the meaning of the Act of 18 July 2002 on the provision of electronic services (Journal of Laws of 2020, item 344, as amended, hereinafter: “Act on the Provision of Electronic Services“). 
  2. This Terms and Conditions constitute at the same time terms of use for the provision of electronic services within the meaning of Article 8 of the Act on the Provision of Electronic Services. The Administrator provides services electronically in accordance with Terms and Conditions.
  3. For compliance with the ICT system used by the Administrator and in order to use the Store or Portal as well as in order to exercise rights resulting from membership in the eduworlds community, it is necessary to use equipment and software that meets the following minimum technical requirements:
    1. having an active e-mail account,
    2. having a Wallet (MetaMask recommended),
    3. having or creating an account in the Discord app,
    4. a web browser that includes current updates, with JavaScript enabled,
    5. cookies enabled in the browser,
    6. Internet access,
    7. having applications that allow you to read PDF files,
    8. the ability to play video files.
  4. Everyone using the Store or the Portal undertakes not to take actions that could threaten their proper functioning. Users are prohibited from providing illegal content, acting in a manner that violates the law or in order to circumvent the law, as well as in contradiction with the principles of community life or principles of good mores. It is prohibited to use the Store or the Portal in a way that interferes with their functioning or is harmful for the Administrator or third parties.  
  5. The Administrator reserves that the use of the Store or the Portal may involve a standard risk related to the use of the Internet and recommends to the Users to take appropriate steps to minimize them. The Administrator ensures the operation of the ICT system, which enables the use of services provided electronically, in such a way that prevents unauthorized persons from accessing the content of the message constituting these services, in particular with use of cryptographic techniques appropriate to the properties of the services provided. In the event of planned interruptions, modernization or other similar cases, the Administrator will notify users about them at their submitted e-mail addresses and will announce this fact generally at the Store or Portal.
  6. Starting to use the services covered by this Terms and Conditions or agreement to comply with them is tantamount to concluding a contract for the provision of electronic services.
  7. Consent to use the services covered by this Terms and Conditions may be withdrawn at any time. Termination of the contract for the provision of electronic services is made by ceasing to use the services covered by this Terms and Conditions.
  8. The provision of access to the Store’s functionalities is free of charge. The purchase of eduworlds Tokens available at the Store is paid.
  9. The Administrator enables all persons using the Store and the Portal:
    1. free access to the online course„NFT for Begginers”,
    2. service of sending the ordered commercial information (“Newsletter”). 
  1. In order to use the services specified in Clause 9 above, an interested person must enter his or her e-mail address in the form provided for this purpose and press the button respectively: “Receive a free course” or “Subscribe to the Newsletter” or equivalent.  The Newsletter service is provided until the consent is withdrawn by pressing the unsubscribe link contained in the e-mail sent as part of the Newsletter.
  2. The provisions of § 13 of these Terms and Conditions shall apply accordingly to the complaint in scope of services provided electronically, while the deadline for submitting a complaint is counted from the moment of occurrence of the event justifying submission of the complaint.
  3. In matters not covered by these Terms and Conditions, in scope of providing services by electronic means, generally applicable provisions of law shall apply, in particular the Act on the Provision of Electronic Services.

§ 4. EDUWORLDS COMMUNITY

  1. Membership in the eduworlds community entitles you to:
    1. access to the Portal and the possibility of using available Courses, on the terms set out in § 5 of the Terms and Conditions,
    2. access to a closed channel at the eduworlds community server  in the Discord app,
    3. participation in gamification with use of eduworlds Tokens,
    4. use benefits offered by the Administrator, on the terms set out in separate terms of use.
  2. The possibility to exercise rights specified in Clause 1 above is available only to Users.
  3. The condition for membership in the eduworlds community is to have at least 1 (one) eduworlds Token and accept these Terms and Conditions. 
  4. Membership in the eduworlds community and resulting out of it rights referred to in Clause 1 above are associated with eduworlds Tokens saved in User’s Wallet. This means that the sale of the eduworlds Token by the User as a result of the Transaction will result in the transfer of the membership associated with this eduworlds Token to its buyer. 
  5. The total number of available eduworlds Tokens is 10,000 (ten thousand) pieces. 
  6. Each User may have more than 1 (one) eduworlds Token. 
  7. The Administrator is entitled to increase the number of eduworlds Tokens at any time, at its own discretion, by changing the Terms and Conditions.
  8. Granting access to the Portal and a closed channel on the Discord server of the eduworlds community  takes place automatically after connecting the Wallet in which the eduworlds Token is saved.
  9. The provider of the closed Discord server for the eduworlds community is Discord Inc., 444 De Haro Street #200, San Francisco, CA 94107. Use of the Discord server takes place on the terms set out in the terms and conditions of the application provider, available at: https://discord.com/terms, https://discord.com/privacy. 
  10. The Administrator is entitled to monitor and moderate materials and content transmitted, stored or shared by Users as part of the Discord server of the eduworlds community.

§ 5. RULES FOR THE USE OF COURSES

  1. The eduworlds Token held by the User allows him to access the Courses, whereby 1 (one) eduworlds Token can be exchanged for an access to 1 (one) Course selected from the list available at the Portal for a period of 2 (two) weeks.
  2. In order to obtain access to the Course, it is necessary for the User to indicate his e-mail address to which the access link will be sent.
  3. At the end of the 2-weeks period referred to in Clause 1 above, the User loses access to the Course and may again exchange the eduworlds Token for access to the same or a different Course from among those available on the Portal.
  4. An exchange of the eduworlds Token for an access to a Course does not result in User losing this eduworlds Token or limiting the User’s rights to dispose of it subject to immediate loss of access to the Course in the event when the eduworlds Token exchanged for the Course is transferred to another Wallet.
  5. It is possible to exchange more than 1 (one) eduworlds Token at the same time and receive access to more than one Course at the same time. 
  6. The offer of Courses at the Portal which Users will be able to access through the exchange of the eduworlds Token will be developed on an ongoing basis.
  7. Each of the 10,000 (ten thousand) pieces of eduworlds Tokens will reflect one card with graphic. The revealing of cards with graphics will take place within 3 months from the date of completion of Mint, indicated in § 7 Clause. 3 herein. Along with the revealing of the cards, the Administrator will also announce additional options for the use of eduworlds Tokens, including the possibility of participation in gamification with their use.

§ 6. EDUWORLDS TOKEN TRADING

  1. Subject to the conditions set out in this paragraph, the User may sell  the eduworlds Token at any time, to any person of his choice and for any price. The Transaction takes place with use of a Smart Contract in the Ethereum network in exchange for consideration expressed in ETH. 
  2. The User who has made the Transaction with use of the last of the eduworlds Tokens held loses membership in the eduworlds community and related rights referred to in § 4 Clause 1 of the Terms and Conditions. The effect specified in the preceding sentence occurs when the eduworlds Token is saved  in the buyer’s Wallet.
  3. In order to make a Transaction, the User may use the Related Platform, as well as other available platforms enabling sale of Tokens in the Ethereum network.
  4. The Transaction is carried out according to the rules set out in the respective terms of use of the sales platform selected by the User. 
  5. Subject to the provisions of Clauses 6 and 7 below, the Administrator is not a party to the Transaction, has no influence on its execution and content and is not responsible for its effects.
  6. The Administrator respects the result of the Transaction in the form of transferring the eduworlds Token to another person. The Administrator allows each holder of the eduworlds Token to join the eduworlds community under the conditions specified in the Terms and Conditions.
  7. Based on the agreement concluded by the Administrator with the Related Platform for each eduworlds Token Transaction  executed through the Related Platform the Administrator will receive a commission of up to 10% of the Transaction price. The current amount of commission is verifiable via the Related Platform. The commission due to the Administrator is collected and transferred to the Administrator’s Wallet automatically upon the execution of the Transaction via the Related Platform, thus reducing the number of ETH received by the seller as the sale price of the eduworlds Token. 
  8. Before making a Transaction, the User is obliged to inform the buyer of the eduworlds Token  about the content of the Terms and Condition and about a need to accept it in order to join the eduworlds community.

§ 7. PERSONS ENTITLED TO RECEIVE EDUWORLDS TOKENS

  1. Person Entitled to receive the eduworlds Token for free is:
    1. a holder of at least 1 (one) Transparent Powers Token who will use an “Exchange Transparent Powers to eduworlds” option at the website: https://portal.transparentworld.pl from 7 PM on 1.09.2022 to 8 PM on 30.09.2022.
    2. a person, excluding Firestarters community members defined in Clause 8 below, who until 11:59 PM on 28.08.2022 within one account at https://portal.akademia.pl/  received an access to at least 2 (two) Paid Products offered therein and who from 5 PM on 7.09.2022 to 8 PM on 30.09.2022 will use unique link received from Administrator enabling receipt of eduworlds Token. 
  1. An Entitled Person referred to in Clause 1 letter a. above choses Transparent Powers Tokens that they want to burn, taking further technical steps in accordance with the messages and information displayed. The entitled person covers the cost of gas due to the Ethereum network, necessary to burn selected Transparent Powers Tokens. Within 24 hours of burning, eduworlds Tokens will be transferred to the entitled person’s Wallet at no additional charge in a number corresponding to the number of planets appearing on the Transparent Powers Tokens burned by an entitled person.
  2. An Entitled Person referred to in Clause 1 letter b. above will receive a message to the e-mail address linked to their account at https://portal.akademia.pl/ with a unique link enabling a receipt of eduworlds Token. After having clicked the link the Entitled Person shall take further technical steps in accordance with the messages and information displayed and accept them. Within 24 hours as of acceptance one  eduworlds Token will be transferred to the entitled person’s Wallet at no additional charge.  
  3. The condition for the Entitled Person to join the eduworlds community  is to accept Terms and Conditions and save at least 1 (one) eduworlds Token in their Wallet.
  4. The Entitled Person obtains membership in the eduworlds community at the moment of saving the eduworlds Token in their Wallet. 
  5. Failure to save the eduworlds Token in the Entitled Person’s Wallet until 8 PM on 30.09.2022 is tantamount to the resignation by this Entitled Person from the possibility of receiving the eduworlds Token.
  6. The Entitled Person referred to in Clause 1 a. above loses access to the Transparent Powers community only if he has used all his Transparent Powers Tokens as part of the “Exchange” option.
  7. Each holder of the Firestarters Token, as for 01.09.2022 at 12.00., will receive from the Administrator 1 (one) eduworlds Token for each Firestarters Token possessed, which will be transferred free of charge to the address of his Wallet. Such a person will be able to join the eduworlds community subject to acceptance of the Terms and Conditions. 

§ 8. TERMS OF USING THE STORE 

  1. The Administrator makes available for sale at the Store certain number of eduworlds Tokens from among the total pool referred to in § 4 Clause 5 of the Terms and Conditions.
  2. The Customer may purchase eduworlds Tokens available at Store by placing an Order, clicking the “Receive eduworlds Token in exchange for PLN” button, then the Sales Agreement is concluded upon the terms set out in § 10 hereof, or may use the “Mint for ETH” option to which provisions of § 9 of the Terms and Conditions apply.

§ 9. RULES FOR TOKEN ACQUISITION WITH USE OF A SMART CONTRACT

  1. In order to use the “Mint for ETH” option, the Customer must have a Wallet with ETH funds in an amount sufficient to cover the price of the selected number of eduworlds Tokens and the gas fee necessary for their Mint in the Ethereum network. 
  2. The price of the Token is paid to the Seller. The gas fee is paid in full to the Ethereum network at the rate current on the Mint date. The Administrator has no influence and is not responsible for the amount of the gas fee due to the Ethereum network.
  3. The condition necessary to use the “Mint for ETH” option is acceptance of the Terms and Conditions. Making a statement on acknowledgement and acceptance of the Terms and Conditions occurs by ticking an appropriate checkbox when placing an Order.
  4. By clicking the “Mint for ETH” button, the Customer is transferred to the Wallet website or the application (if he has one). It is necessary for the Customer to log in to the Wallet. 
  5. After logging into the Wallet, the Customer selects the number of eduworlds Tokens that he wants to purchase. The sale price and the amount of due gas fee are displayed in the Wallet. At this point, Customer may resign from Mint and in order to do so he should log out of the Wallet. 
  6. A Customer who accepts the terms of the eduworlds Token Mint, in order to perform it, should confirm the Transaction in the Wallet by entering private key and then wait for the Transaction to be registered in the Ethereum Blockchain network. 
  7. The Sales Agreement is concluded at the moment of correct registration of the Transaction in the Ethereum Blockchain network and saving the eduworlds Token  in Customer’s Wallet.
  8. In order to receive a VAT invoice, the Customer should contact the Seller by sending a message to the following address: [email protected]
  9. The Seller informs that the time necessary to save the Transaction on the Ethereum Blockchain network depends on its current load. While waiting for this record, the Customer should not take any actions in the Wallet, as they may lead to the interruption of the Transaction. When the Transaction is interrupted, the Mint does not take place and the Token will not be saved in the Customer’s Wallet. 
  10. The Seller is not responsible for failure of the eduworlds Token Mint in a situation where the Transaction was interrupted as a result of the Customer’s actions.
  11. The Seller informs that the gas fee for the Ethereum network is charged upon acceptance by the Customer of the Transaction in the Wallet and is not refundable in the event of interruption of the Transaction. 

§ 10. PLACING ORDERS

  1. To place an Order in the Store, the Customer indicates the number of eduworlds Tokens purchased, taking subsequent technical actions based on the displayed messages and information at the sales page, and then at the Store’s website.
  2. In order to purchase eduworlds Tokens, the Customer  transfers them to the cart. The cart is an element of the Store. The Customer can view the content of the cart at any time, add or remove eduworlds Tokens, as well as immediately go to the process of placing an Order.
  3. In the course of placing the Order, Customer provides following data: name and surname, address of residence, e-mail address, Wallet address, telephone number, invoice data, payment method and others. The Customer does not register an account during the Order process.
  4. The e-mail address provided may only be used for a contact in the process of Order processing, unless the Customer agrees to be contacted for other purposes (e.g. Newsletter) by ticking the appropriate checkbox.
  5. Orders are accepted only electronically by placing an Order using the Store’s website or by e-mail to the address [email protected]
  6. The condition necessary to place an Order is proper filling of the Order form. An Order with an incorrectly filled form may not be processed.
  7. The condition necessary to place an Order is acceptance of the Terms and Conditions. Making a statement on acknowledgement and acceptance of the Terms and Conditions occurs by ticking the appropriate checkbox when placing an Order.  
  8. Before accepting the Order, the Customer will be informed about:
  1. the main characteristics of the sales object,
  2. the total price of  eduworlds Tokens added to the cart, including taxes, as well as delivery fees or other costs (if any),
  3. the possibility of withdrawal from the agreement.
  1. The Customer expresses the will to conclude the Sales Agreement by clicking the “Order with obligation to pay” button or equivalent.
  2. Placing an Order is not equivalent to the conclusion of a Sales Agreement but constitutes an offer to conclude such an agreement.
  3. In the event of unavailability of the number of  eduworlds Tokens specified by the Customer in the Order, the Customer will be informed about the status of the Order and will decide on the method of its implementation (partial implementation or cancellation of the entire Order).
  4. The Sales Agreement is concluded at the time of taking the Order for execution by the Seller, about which the Customer is informed by e-mail confirming the purchase. The message referred to in the preceding sentence also includes a confirmation of the statements made by the Customer regarding the request for performance of the provision before lapse of the statutory term for withdrawal from the agreement. 
  5. Orders are executed immediately, no later than within 24 hours as of crediting the Seller’s bank account with price in accordance with the Sales Agreement or receipt by the Seller of confirmation of payment from the payment operator. 
  6. The Order is processed by transferring the eduworlds Token to the Wallet address indicated in the Order. The Customer does not incur any additional fees related to its transfer.
  7. Orders are executed in order of their receipt while stock of the eduworld Tokens sold this way lasts.
  8. The price of eduworlds Tokens is provided in Polish zlotys and includes VAT. The price provided for the eduworlds Token is binding at the time of placing the Order by the Customer. 
  9. The Seller reserves the right to change the prices in the Store, conduct and cancel promotional campaigns on the Store’s websites, use unique promotional codes available outside the Store. The above right does not affect the price of eduworlds Tokens provided in Orders placed before the date of entering into force of the price change or promotional campaign.
  10. Each purchase made by the Customer is accompanied by a proof of purchase: a receipt or VAT invoice sent electronically. At the Customer’s request, the proof of purchase will be delivered in a paper version.
  11. The Customer may pay the price for purchased products as follows:
    1. credit/debit card payment through electronic system: stripe.com,
    2. BLIK.

§ 11. RIGHT OF WITHDRAWAL FROM THE SALES AGREEMENT

  1. Due to the nature of the Blockchain network and the irreversible nature of the Token Mint, withdrawal from the eduworlds Token Sale Agreement  is possible only on the terms set out below.
  2. The Administrator informs that the right to withdraw from an agreement concluded outside the business premises or at a distance does not pertain to the Customer, including the Consumer, in cases specified in detail in Article 38 of the Act on Consumer Rights, including in case of contracts for the provision of digital content which is not recorded on a tangible medium, if the provision of the service began upon the express consent of the Consumer before the lapse of statutory term for withdrawal from the agreement and subject that entrepreneur have informed the Customer about loss of the right of withdrawal.
  3. The Customer who is a Consumer acknowledges that the conclusion of the eduworlds Token Sale Agreement  in accordance with § 9 – 10 hereof occurs under conditions specified in Clause 2 above. This means that commencement of service provision before the term for withdrawal from the agreement, may take place only upon an express consent of the Customer, including the Consumer who has been informed by the Seller that at the moment of beginning of service provision, he will lose the right to withdraw from the agreement.
  4. The buyer who is also a Consumer acknowledges that enabling Mint or transferring to the Wallet address of the eduworlds Token, constitutes performance by the Administrator of the service under an agreement for the provision of digital content referred to in Clause 2 above. 
  5. Giving consent to immediate commencement of provision of the service referred to in Clauses 3 and 4 above takes place by ticking the appropriate checkbox. 
  6. In the absence of consent referred to in Clause 3 above, the commencement of service provision will take place only after the lapse of statutory term for withdrawal from the agreement.

§ 12. LIABILITY IN CASE OF FAULTY PRODUCTS

  1. In the event of concluding the Sales Agreement, the Seller is obliged to provide the eduworlds Token without defects. The Seller is liable to the Consumer for a period of 2 years from the provision of the eduworlds Token, if it has a physical or legal defect (statutory warranty for defects). The Consumer is entitled to exercise a warranty in form of removal of the defect, replacement of the eduworlds Token with one free from defects, price reduction or withdrawal from the contract, if the defect is significant.
  2. The above rights under the warranty are granted only to Customers who are Consumers. In relations between the Seller and the Customer who is not a Consumer, the statutory warranty for defects is excluded.
  3. The Consumer has right of submitting a request to the Seller resulting from the statutory warranty within one year from the date of noticing the defect. The complaint is filed on the terms set out in § 13 of the Regulations. 
  4. If the complaint is accepted, the Seller will remove the defect or replace the eduworlds Token with one free of defects. If this is not possible, the Seller will reimbuse the Consumer with equivalent of the paid sale price of the advertised eduworlds Token immediately, but no later than within 14 days from the date of the decision to positively consider the complaint, using the same method of payment as used by the Customer.

§ 13. COMPLAINTS

  1. Requests resulting from the statutory warranty referred to in § 12 of the Terms and Conditions as well as other complaints regarding the functioning of the Store or the Portal, including technical irregularities regarding their operation, may be submitted by post to the following address: Innowacyjna 1, 16-400 Suwałki, with a note: “Complaint eduworlds” or by sending an e-mail to the following address: [email protected] 
  2. The complaint should contain the name, surname, current address of the complainant and a detailed description and indication of the circumstances constituting the basis for the complaint. 
  3. After receiving a complaint in accordance with Clause 1 and 2 above, the Administrator will consider it within 14 (fourteen) calendar days from the date of delivery of the complaint. The response to the complaint is given in writing via post or in a return e-mail.
  4. After ending the complaint procedure, the complainant has the right to pursue unaccounted claims in a common court with territorially competent in accordance with the provisions of the Code of Civil Procedure.
  5. The complainant has the option of using out-of-court methods of dealing with complaints and pursuing claims, m.in by submitting an application for mediation or a request to consider the case before an arbitration court after the end of the complaint procedure (the application can be downloaded at the website: http://www.uokik.gov.pl/download.php?plik=6223). The list of Permanent Consumer Arbitration Courts operating at the Provincial Inspectorates of Trade Inspection is available at the website: http://www.uokik.gov.pl/wazne_adresy.php#faq596. Out-of-court redress after the end of the complaint procedure is free of charge. In addition, the consumer has the right to submit a complaint via the EU ODR online platform, available at http://ec.europa.eu/consumers/odr/.

§ 14. COPYRIGHT. DIGITAL FILE LICENSE

  1. The Administrator is entitled to proprietary copyrights, including derivative rights, to all Digital Files included in the Collection. The Administrator is exclusively entitled to grant all consents, permissions, authorizations, including licenses for the use of Digital Files.
  2. The acquisition of the eduworlds Token by the User, as a result of the Mint or transaction, does not transfer to him the economic copyrights, the right to exercise and allow the exercise of derivative rights, nor does it authorize him to exercise moral rights to the eduworlds Digital File related to this Token. 
  3. The Administrator grants each holder of the eduworlds Token a non-exclusive, free of charge and not limited territorially license to use the Digital File associated with this eduworlds Token, excluding commercial (commercial) use, in the following fields of exploitation:
    1. in the field of recording and reproduction of the Digital File – production of copies of the Digital File using a specific technique, including printing, reprographic, magnetic recording and digital technology;
    2. in the scope of trading in the original or copies on which the Digital File has been recorded – placing on the market, lending or renting the original or copies;
    3. in the scope of distributing the work in a manner other than specified in point b – public performance, exhibition, display, reproduction, broadcasting and rebroadcasting, as well as making the work available to the public in such a way that everyone can have access to it in a place and at a time individually chosen by them.
  4. Upon each transfer of the eduworlds Token as a result of the Transaction, the license granted expires with respect to the Token seller and arises for the benefit of the Token buyer.

§ 15. CHANGES TO THE TERMS AND CONDITIONS. PORTAL AVAILABILITY

  1. The Administrator reserves the right to change the Terms and Condition in accordance with the conditions set out below.
  2. The Administrator, when introducing a change to the Terms and Conditions, is obliged to inform about it at the Store and at the Portal, subject that the changes will enter into force within a period of not less than 14 (fourteen) days from their announcement.
  3. Orders placed in the Store before the date of entry into force of amendments to the Terms and Conditions are carried out on the basis of the provisions in force at the date of placing the Order.
  4. Further use by the User of the Portal or the rights specified in § 4 Clause 1 of the Terms and Conditions, after entering into force of the amendment to the Terms and Conditions, is tantamount to the User’s consent to the amended content of the Terms and Conditions.
  5. The Administrator strives to maintain the availability of the Portal and the Store without time limits. However, the Administrator reserves the right to temporarily suspend their availability for technical reasons, in particular in order to carry out development works or remove errors, as well as the right to definitively terminate their activity, after at least 14 days of notification to Users in the case of the Portal, in the event of objectively justified grounds, including in particular those resulting from changes in the applicable provisions of law, change in the business profile or termination of business activity by the Administrator.  

§ 16. RISK INFORMATION. ADMINISTRATOR’S LIABILITY 

  1. The scope of services provided by the Administrator to members of the eduworlds community is limited to providing the eduworlds community with a closed Discord server retroactively moderated by the Administrator, respecting the fact of transferring the possession of eduworlds Tokens and verifying users’ rights and granting them access to the services covered by the Terms and Conditions. 
  2. The Administrator is entitled to update, change or delete materials and any other elements at the Portal at any time, without giving a reason.
  3. All materials published by the Administrator at the Portal or at the Discord server of the eduworlds community are for informational purposes only. They do not constitute an offer, recommendation or invitation to invest in alternative markets. The Administrator does not mediate in Token Transactions nor provides advisory services.
  4. Membership in the eduworlds community is free of charge and voluntary. The User may at any time terminate the use of services covered by the Terms and Conditions. However, the User is aware that in case of Mint or eduworlds Token Transaction, the public key of the User’s Wallet is irreversibly and publicly visible in the Ethereum network through storage in the Blockchain.
  5. The terms of use of the Wallet are determined solely by its provider. The Administrator is not responsible for the User’s Wallet and the values accumulated in it. 
  6. Apart from the rights related to the possession of the eduworlds Token specified in the Terms and Conditions, the Administrator does not guarantee the User any other results. The User independently decides on the method of using the eduworlds Token, including making Transactions.
  7. By making an eduworlds Token Transaction, the User acts solely on his own behalf and is aware of the risk of an unpredictable change or complete loss of value of the eduworlds Token. The User is aware that Transactions in the Blockchain network are irreversible also in case of their incorrect execution due to the fault of the User or because of reasons beyond his control.
  8. The Ethereum Network and the sales portals supporting it, including Related Portals, are not under any control or influence of the Administrator and he does not guarantee their proper operation.
  9. The User is solely responsible for any possible public law receivables related to the Transaction, which may result from the provisions of generally applicable provisions of law. When making a Transaction, the User is obliged to examine whether the planned Transaction shall not be qualified as a banking, supervised or other legally regulated activity. 
  10. The User acknowledges that there are currently no legal regulations that would apply to Blockchain technology or Tokens and that any new legal regulations or guidelines may significantly affect the possibility and scope of using the Portal and eduworlds Tokens.
  11. The User is aware that the existence of the eduworlds community and the readiness of its members to make Transactions may affect the value of eduworlds Tokens. The Administrator does not guarantee the continuous existence of the eduworlds community and is not responsible for the reduction or total loss of value of eduworlds Tokens in case of termination of the Portal’s activity or termination of the existence of the eduworlds community. 

§ 17. FINAL PROVISIONS

  1. The controller of personal data of data subjects using the Store and the Portal is Transparent World sp. z o.o. with its registered seat in Suwałki. Personal data is processed upon the terms provided in the “Privacy Policy” tab available at: https://eduworlds.com/privacy-policy-eng.
  2. In order to obtain information on the use of the Store or Portal or services provided on the basis of the Terms and Conditions, please contact the Administrator to the e-mail address: [email protected] A reply will be provided within 7 working days.
  3. The settlement of any disputes arising between the Seller and the Customer who is not a Consumer shall be submitted to the common court of competent subject matter jurisdiction in Warsaw.
  4. In matters not covered by the Terms and Conditions, the provisions of Polish law shall apply, including the Polish Civil Code and the Act on the provision of electronic services.
  5. The Terms and Conditions come into force as of September 1st, 2022.
